本服务条款(“协议”)系注册地为中国上海市长宁区长宁路1018号21楼2106室的誉广信息科技(上海)有限公司(系Smaato Pte. Ltd.全资控股的外商独资企业,下称“Smaato”)和发布者之间就发布者使用服务(定义见下文)所约定的条款及条件。“发布者”指在Smaato创建线上账户的个人或实体(“账户创建者”)或授权账户创建者代理访问或使用服务的个人或实体。通过在Smaato提供的线上用户界面创建账户以访问服务,或以其他方式访问或使用任何服务,发布者确认其有权签署本协议并同意受到本协议条款的约束。本协议不构成对Smaato与发布者签署的其他任何协议的条款或条件的变更。Smaato与发布者在本协议中单称“一方”,合称“各方”。 These Terms of Service (“Agreement”), entered into by and between Yu Guang Information Technologies (Shanghai) Co., Ltd., a Wholly Foreign-Owned Entity of Smaato Pte. Ltd., with registered address at Room 2106, 21F, 1018 Changning Road, Changning District, Shanghai, People’s Republic of China (“Smaato”) and Publisher, constitute the terms and conditions for Publisher’s use of the Services (as defined below). “Publisher” means the person or entity creating an online account with Smaato (the “Account Creator”), or any other person or entity on whose behalf the Account Creator is authorized to act that accesses or uses the Services. By creating an account via the online user interface provided by Smaato for accessing the Services, or by otherwise accessing or using any of the Services, Publisher agrees that it has the authority to bind and Publisher agrees to be bound by the terms of this Agreement. This Agreement does not alter the terms or conditions of any other agreement entered into by and between Smaato and Publisher. Smaato and Publisher are each a “Party” and collectively “Parties” to this Agreement.
Smaato拥有并运营某些线上服务,包括(a)通过一项实时竞价平台识别合适的需求方;(b)为在最终用户的无线设备可访问的发布者媒体上投放广告(如下文定义)提供便利;(c)为发布者实现发布者媒体的变现管理;以及(d)在https://www.smaato.com/ 或 https://www.smaato.cn(“网站”)上或通过上述网站提供“软件即服务”形式的服务,这些服务的使用是通过某些基于在线的软件,包括Smaato SDK 和Smaato发布者平台(SPX)(以上服务,合称“Smaato SaaS服务”)。Smaato也拥有并运营某些广告服务,发布者可委托Smaato作为代理商,向广告主供应发布者媒体上的可用媒体广告库存,供其投放广告(“Smaato广告代理服务”)。Smaato SaaS服务和Smaato广告代理服务,合称“服务”。 Smaato owns and operates certain online services that (a) identify the proper demand partner through a real-time bidding platform; (b) facilitate the delivery of Ads (as defined below) to Publisher Properties which can be accessed by End-Users’ Wireless Devices; (c) allow Publisher to manage the monetization of its Publisher Properties; and (d) are available at or through https://www.smaato.com/, or https://www.smaato.cn (“Site”) as a software-as-a-service by using certain online-based software, including the Smaato SDK and the Smaato Publisher Platform (SPX) (collectively, “Smaato SaaS Services”). Smaato also owns and operates certain advertising services that allow Publisher to engage Smaato as its agent to offer Media Ad Inventory available on the Publisher Properties to Advertisers for Ads placement (“Smaato Advertising Agency Services”). The Smaato SaaS Services and the Smaato Advertising Agency Services are collectively referred to as the “Services”.
发布者及Smaato同意,Smaato可向发布者投放广告;以及,发布者可自行或通过使用服务向发布者媒体上的媒体广告库存投放广告。根据本协议,发布者将提供发布者媒体并为任何全部活动或交易提供便利,使发布者能通过在发布者媒体上投放广告收取价款。为该等目的,发布者可使用与媒体广告库存销售相关的服务。 Publisher and Smaato agree that Smaato may deliver Ads to Publisher, and that Publisher may, or may use the Services to, deliver Ads to Media Ad Inventory located on the Publisher Properties. Publisher will make the Publisher Properties available pursuant to this Agreement and will facilitate any and all actions or transactions to enable Publisher to receive payments for Ads delivered on the Publisher Properties. For these purposes, Publisher may use the Services in connection with the sale of such Media Ad Inventory.
1.1 “广告”指广告主向Smaato提供的,通过文字、图片、音频、视频、富媒体(如动画、动漫、flash)或其他营销活动表现的广告或商业宣传。 “Advertisement(s)” or “Ad(s)” means an advertisement or commercial presentation represented by text, graphics, audio, video, or rich media such as movement, animation, flash, or other promotional activity that is provided to Smaato by Advertisers.
1.2 “广告主”指提供广告的第三方个人或主体,即为了在发布者媒体上展示广告而与Smaato签订协议购买或让Smaato代表其购买媒体广告库存的第三方个人或主体。 “Advertiser” means the third-party person or entity providing Ads, who has contracted with Smaato to purchase, or to have Smaato purchase on its behalf, Media Ad Inventory for the purpose of displaying Ads on the Publisher Properties.
1.3 “发布者政策”是指适用于发布者和发布者媒体的发布者政策及评论和内容指南,发布在https://www.smaato.cn/publisher-policies/上(可能会定期修改)。 “Publisher Policies” means the publisher policies and editorial and content guidelines applicable to Publisher and the Publisher Properties, available at https://www.smaato.cn/publisher-policies/ (which may be amended periodically).
1.4 “最终用户信息”指与访问发布者媒体的最终用户有关的任何非个人可识别信息。非个人可识别信息包括但不限于:最终用户使用的无线终端设备的类型、IP地址、投放给最终用户的广告、广告被投放给最终用户的时间和最终用户点击的广告,以及发布者允许收集的任何精确的地理位置信息(如纬度/经度)。 “End-User Information” means any non-personally identifiable information about an End-User who visits the Publisher Properties. Non-personally identifiable information includes, but is not limited to: the type of Wireless Device used by an End-User, IP addresses, the Ads delivered to an End-User, when such Ads were delivered to End-Users, and which Ads an End-User clicked, as well as any precise geo-location data (e.g., latitude/longitude coordinates), where Publisher permits such collection.
1.5 “最终用户”指通过无线设备访问发布者媒体的任何访问者。 “End-User” means any visitor accessing the Publisher Properties through a Wireless Device.
1.6 “展示量”指在人类最终用户的无线设备上展示一次广告。“展示量”不包括任何由欺诈或其他非法行为展示广告,即以查看广告来交换对价或金钱激励,和/或通过机械或其他技术手段在并没有人类最终用户查看无线终端设备上的广告展示查看广告。 “Impression” means a single instance of displaying an Ad to a human End-User on such End-User’s Wireless Device. “Impression” excludes any display of Ads obtained by fraud or other illegal conduct, where an Ad has been viewed in exchange for consideration or monetary incentive, and/or by mechanical or other technical means where there is no human End-User that actually views the display on their Wireless Device.
1.7 “媒体广告库存”指发布者媒体上可用的,在最终用户访问发布者媒体时在其无线设备上展示广告的空位。 “Media Ad Inventory” means the advertising space on the Publisher Properties that Publisher makes available for the display of Ads on an End-User’s Wireless Device when visiting the Publisher Properties.
1.8 “隐私政策”指在 https://www.smaato.cn/privacy/上发布的Smaato的隐私政策(可能会定期修改)。 “Privacy Policy” means Smaato’s privacy policy available at https://www.smaato.cn/privacy/ (which may be amended periodically).
1.9 “发布者媒体”指基于本协议,发布者向Smaato提供的移动网站、网站、移动应用程序、应用程序、联网电视平台和其他数字媒体。为避免歧义,媒体广告库存位于和包含于发布者媒体。 “Publisher Properties” means the mobile websites, websites, mobile applications, applications, connected-television platforms, and any other digital properties made available by Publisher to Smaato under this Agreement. For the avoidance of doubt, the Media Ad Inventory is located on and contained within the Publisher Properties.
1.10 “Smaato SDK”指Smaato提供的任何软件开发工具包(SDK)。 “Smaato SDK” means any software development kit (SDK) made available by Smaato.
1.11 “第三方需求方”指为访问发布者媒体和/或媒体广告库存,而与发布者之间有直接合同关系的任何第三方。 “Third-Party Demand Partner” means any third-party who has a direct contractual relationship with Publisher to access the Publisher Properties and/or Media Ad Inventory.
1.12 “无线设备”指移动手机、电话、平板、台式机、联网电视和/或其它最终用户用于访问发布者媒体的设备。 “Wireless Devices” means the mobile phones, phones, tablets, desktops, connected televisions, and/or any other devices from which End-Users access the Publisher Properties.
2.1 交付。根据本协议中约定的条款与条件,Smaato会向发布者交付或提供某些Smaato SaaS服务,使得发布者能向第三方广告主销售媒体广告库存或接收来自第三方广告主的广告,以便发布者可在发布者媒体上投放广告。 Delivery. Subject to the terms and conditions in this Agreement, Smaato may deliver or make available to Publisher certain Smaato SaaS Services that enable Publisher to sell Media Ad Inventory to, and receive Ads from, third-party Advertisers so that Publisher can place such Ads on the Publisher Properties.
2.2 许可。根据本协议的条款与条件,Smaato在本协议期间授予发布者以下非独家的、不可转让的、非再授权的、有限的和可撤销的许可,以:(a)访问网站和使用Smaato SaaS服务;及(b)联合使用发布者媒体和Smaato SaaS服务,以便向最终用户的无线设备投放广告。若发布者下载、安装、访问或以其他形式使用Smaato SDK,发布者应当遵守Smaato SDK许可协议,Smaato SDK许可协议发布于https://www.smaato.com/sdk-license-agreement/ 。 License. Subject to the terms and conditions of this Agreement, Smaato hereby grants Publisher, during the Term, a non-exclusive, non-transferable, non-sublicensable, limited, and revocable license to: (a) access the Site and use the Smaato SaaS Services; and (b) use the Smaato SaaS Services with the Publisher Properties in order to serve Ads to End-Users’ Wireless Devices. If a Smaato SDK is downloaded, installed, accessed, or otherwise used by Publisher, Publisher shall be subject to the Smaato SDK License Agreement, available at https://www.smaato.com/sdk-license-agreement/.
2.3 许可限制。发布者不得对Smaato SaaS服务进行反向工程、反向编译或反向汇编。此外,除非本协议中明确允许,发布者不得:(a)复制、修改或改编Smaato SaaS服务;(b)租用、出租、转许可、出售、让与、租借或以其它方式转让Smaato SaaS服务。发布者在使用服务时必须遵守所有适用的法律,并不得以危及服务的完整性、有效性或可用性的方式使用服务。若本协议和Smaato SDK 许可协议中的关于Smaato SDK的条款发生冲突,则应以Smaato SDK 许可协议为准。 License Limitations. Publisher shall not reverse engineer, decompile, or disassemble the Smaato SaaS Services. Further, except as expressly permitted in this Agreement, Publisher shall not (a) copy, modify, or adapt the Smaato SaaS Services, or (b) rent, lease, sublicense, sell, assign, loan, or otherwise transfer the Smaato SaaS Services. Publisher must comply with all applicable laws when using the Services, and must not use the Services in a manner that threatens the integrity, performance, or availability of the Services. If applicable, with respect to the Smaato SDK, in the event of a conflict between the terms of this Agreement and the terms of the Smaato SDK License Agreement, the terms of the Smaato SDK License Agreement shall prevail.
2.4 更新。如果Smaato向发布者提供Smaato SaaS服务的新版本或更新内容(“更新内容”),发布者应当立即停止使用Smaato SaaS服务之前的版本,并且整合并使用与服务相关的更新内容。 Updates. If Smaato provides Publisher a new version or an update to the Smaato SaaS Services (“Update”), Publisher shall promptly cease use of the prior version of such Smaato SaaS Services, and incorporate and use the Update in connection with the Services.
2.5 所有权。在本协议中授予的许可并不构成对服务、Smaato SaaS服务或Smaato任何其他专有权利的转让或出售,包括前述所有知识产权(统称为“Smaato的财产”)。除上述授予的许可外,Smaato保留对Smaato的财产拥有的一切权利、所有权和权益。发布者同意不会删除、更改或混淆服务的任何部分上的任何专有权利的声明,包括版权声明。 Ownership. The license granted in this Agreement does not constitute a transfer of ownership or sale of the Services or the Smaato SaaS Services, or any other proprietary rights of Smaato, including all intellectual property rights in any of the foregoing (collectively referred to as “Smaato Property”). Except for the license granted above, Smaato retains all right, title, and interest in and to the Smaato Property. Publisher agrees not to remove, alter, or obscure any proprietary notices, including copyright notices, on any portion of the Services.
2.6 知识产权。本协议双方中的每一方,应当拥有和保留各自知识产权的一切权利、所有权和权益。本协议的履行不应造成任何一方知识产权或知识产权权利的转让。 Intellectual Property Rights. As between the Parties, each Party shall own and retain all right, title, and interest in and to each such Party’s intellectual property. The execution of this Agreement shall not result in any transfer of ownership of either Party’s intellectual property or intellectual property rights.
3.1 广告代理服务。通过本协议,发布者委派Smaato为广告代理商,通过Smaato SaaS服务寻找有意在发布者媒体上的媒体广告库存投放广告的广告主。发布者同意,Smaato有权为上述目的并以其名义订立相关协议和合同,发布者将接受此类协议和合同的约束。 Advertising Agency Services. Publisher hereby appoints Smaato as its advertising agent to find, through the Smaato SaaS Services, Advertisers that want to place Advertisements on the Media Ad Inventory in the Publisher Properties. Publisher hereby agrees that Smaato shall have the right to enter into relevant agreements and contracts on its behalf for the above purpose, and Publisher will be bound by such agreements and contracts.
3.2 广告投放。发布者知晓并同意其需要告知最终用户,第三方(如广告主)有权(a)向媒体广告库存提供和投放将展示在最终用户的无线设备上的广告;及(b)对由发布者媒体向服务提起的广告请求进行访问、索引。发布者应赔偿Smaato因发布者未能遵守本条规定而引起的任何损失和责任,使其免受损害。 Ad Delivery. Publisher acknowledges and agrees, and Publisher shall disclose to its End-Users, that third-parties, such as Advertisers, have the right to (a) serve and deliver Ads to the Media Ad Inventory which will display on End-Users’ Wireless Devices, and (b) access and index ad requests made from the Publisher Properties to the Services. Publisher shall indemnify and hold Smaato harmless from any losses and liabilities arising out of Publisher’s failure to comply with this Section.
基于本协议的条款和条件,发布者在本协议期间授予Smaato以下非独家的、不可转让的、不可再授权的、免特许使用费的权利和许可,以使:(i)广告主可通过服务在媒体广告库存上投放和放置广告;及(b)为提供服务所需,以发布者名义与广告主交换发布者媒体发起的广告请求。 Subject to the terms and conditions of this Agreement, Publisher hereby grants Smaato, during the Term, a non-exclusive, non-transferable, non-sublicensable, royalty free right and license to: (i) allow Advertisers to deliver and place Ads on the Media Ad Inventory through the Services, and (ii) exchange the ad requests made from the Publisher Properties with Advertisers on Publisher’s behalf as required for providing the Services.
4.1 发布者政策。发布者和发布者媒体应严格遵守发布者政策和适用的法律,不得通过服务投放、提交或提供任何可能违反发布者政策和/或适用的法律的内容或使用与此类内容相关的服务。Smaato保留单方认定发布者未遵守本节规定时终止发布者使用服务的权利。 Publisher Policies. Publisher and the Publisher Properties shall strictly comply with the Publisher Policies and applicable laws and shall not contribute, submit, or make available through the Services, or use the Services in connection with any content that would violate the Publisher Policies and/or applicable laws. Smaato reserves the right to discontinue Publisher’s access to the Services if Smaato determines, in its sole discretion, that Publisher is not in compliance with this Section.
发布者知晓并同意,如果发布者未能遵守发布者政策,Smaato除享有下述第11条中的救济外,还保留以下权利,即在任何时候自行决定立即屏蔽发布者,继而终止其对服务的访问。 Publisher acknowledges and agrees that, in addition to the remedies to which Smaato is entitled under Section 11 below, for failure to comply with the Publisher Policies, Smaato reserves the right at all times in its sole discretion to immediately block Publisher and subsequently discontinue Publisher’s access to the Services.
4.2 第三方条款。发布者将(a)遵守适用于在Smaato支持的任何操作系统上开发和发行任何发布者媒体的任何第三方条款和条件(统称“第三方条款”);及(b)不会使Smaato违反任何该等第三方条款。 Third-Party Terms. Publisher (a) will comply with any third-party terms and conditions applicable to the development and distribution of any Publisher Properties operating on any of the operating systems supported by Smaato (collectively, “Third-Party Terms”) and (b) will not cause Smaato to be in violation of any such Third-Party Terms.
5.1 发布者隐私合规:概述。对投放广告而产生的任何数据的收集、使用、披露及转让,发布者应从最终用户处获取法律规定的一切同意、许可和批准,包括适用的选择订阅和选择退订。发布者对最终用户数据的收集、使用、披露、转让需遵守适用的一切法律、规则和法规。本协议双方同意,在本协议合作期间取得的在中华人民共和国境内产生的数据不得传输到中华人民共和国以外的任何国家或地区。 Publisher Privacy Compliance: General. Publisher shall obtain all legally required consents, licenses, and permissions, including applicable opt-ins and opt-outs, from End-Users for any data collection, use, disclosure, and transfer resulting from the placement of Ads hereunder. Publisher’s collection, use, disclosure, and transfer of End-User Information hereunder shall comply with all applicable laws, rules, and regulations. Both Parties agree that the data obtained during the cooperation under this Agreement that originated from the People’s Republic of China shall not be transmitted to any country or region outside of People’s Republic of China.
5.2 隐私披露与隐私政策。发布者应在每一个发布者媒体的显著处上放置一份隐私政策,并遵循该隐私政策的声明内容。再者,发布者应确保每一个使用服务的发布者媒体:(a)提供法律规定的充分提示;在法律有规定(比如欧盟内)时对于发布者收集、使用、披露和转让最终用户信息给Smaato,包括发布者为使用服务而允许Smaato直接向最终用户收集的数据,无论是通过应用程序开发工具包(SDK)或其它方式从最终用户处获取法律要求的充分许可;(b)对第三方借助广告平台,对以兴趣为基础的广告进行定位,对最终用户信息的使用进行说明;及(c)遵守适用的一切法律、规则、法规和行业自律规范。 Privacy Disclosures and Privacy Policy. Publisher shall prominently display a privacy policy on each of the Publisher Properties and adhere to that privacy policy’s representations. Further, Publisher shall ensure that each of the Publisher Properties that use the Services: (a) provides legally sufficient notice, and where required by law (such as in the European Union) obtains legally sufficient consent from End-Users regarding Publisher’s collection, use, disclosure, and transfer of End-User Information to Smaato as described herein, including any data that Publisher permits Smaato to collect directly from End-Users, whether via SDK or otherwise, to enable the Services; (b) describes the use of End-User Information by advertising platforms for interest-based ad targeting by third parties; and (c) complies with all applicable laws, rules, regulations, and industry self-regulations.
5.3 儿童隐私。发布者向Smaato声明并担保:(a)不向且不会向Smaato在该儿童最终用户未达到其居住地法律法规规定可作出有效同意的年龄时传输或以其他形式提供针对十四(14)周岁以下儿童的发布者媒体和媒体广告库存;及(b)不向且不会向Smaato传输或以其他形式提供任何关于儿童最终用户的数据或从儿童最终用户取得的数据。 Children’s Privacy. Publisher represents and warrants to Smaato that: (a) it does not and will not transmit or otherwise make available to Smaato any Publisher Properties or Media Ad Inventory directed to children under 14 years old; and (b) it does not and will not transmit or otherwise make available to Smaato any data related to or from any End-User that is a child under the age required for providing valid consent as such age is defined by the laws or regulations of the given jurisdiction in which the child resides.
5.4 信息转让。如果Smaato或Smaato的部分资产被另一公司收购,则通过服务收集的有关发布者和最终用户的信息可能会是被转让资产之一。 Transfer of Information. In the event that Smaato or a portion of Smaato’s assets is acquired by another company, the information collected about Publisher and End-Users through the Services may be one of the transferred assets.
5.5 数据所有权。发布者和Smaato理解在双方之间,每一方对其收集的所有数据拥有所有权。这些数据包括但不限于:最终用户在回应广告时提供的信息,及一方通过这类最终用户信息创造、编译、分析或衍生的任何报告,包括(就Smaato而言)通过应用程序编程接口(API)或开发工具包(SDK)收集或接收的任何信息。在不违反Smaato的隐私政策的情况下,Smaato有权出于任何目的收集、使用、披露和转让该等数据。 Data Ownership. Publisher and Smaato understand that as between the Parties, each Party owns all data such Party collects. Such data includes without limitation: information provided by End-Users in response to an Ad and any reports created, compiled, analyzed, or derived by a Party with respect to such End-User information, including (as to Smaato) any information collected or received through an API or SDK. Smaato has the right to collect, use, disclose, and transfer such data for any purpose which is not inconsistent with Smaato’s Privacy Policy.
6.1 广告投放成本。Smaato须按本协议附录A约定的比例,与发布者分享净收入(“净收入金额”)。“净收入”是指广告主在发布者媒体上投放广告,Smaato为此从广告主处实际获得的收入扣除任何广告费、退款、回扣、佣金、广告平台支出、富媒体费用、实时技术费用、Smaato的直接活动费用和/或电汇费用和银行成本。 Ads Placement Costs. Smaato shall pay Publisher a share of the Net Revenue (“Net Revenue Share”), as set forth in Exhibit A. “Net Revenue” shall be equal to the amounts actually received by Smaato from Advertisers for the placement of Ads on the Publisher Properties, less any applicable advertising fees, refunds, rebates, commissions, ad networks’ payout, rich media fees, real-time-bidding technology fees, Smaato’s direct campaign fees, and/or wire and banking costs. The portion of the Net Revenue not paid to Publisher shall be retained by Smaato as a fee for the Smaato Advertising Agency Services.
6.2 软件即服务的费用。Smaato向发布者免费提供Smaato SaaS 服务。但是,Smaato保留以下权利,即提前三十(30)日书面(电子邮件即可)通知发布者,且发布者在上述三十(30)日期限内未有异议,则Smaato有权向发布者收取Smaato SaaS服务的使用费。 Software-as-a-Service Fee. Smaato offers the Smaato SaaS Services to Publisher free of charge. However, Smaato reserves the right to charge Publisher a fee for use of the Smaato SaaS Services upon thirty (30) days’ prior written notice (email sufficing) to Publisher, provided that Publisher does not object within such thirty (30) day time frame.
6.3 支付条款。在协议期间,每个日历月结束后三十(30)天内,Smaato将提供给发布者书面或电子报告,或允许发布者通过服务访问此等报告(“付款报告”)。付款报告将明确当月净收入金额,付款金额将完全根据Smaato所做的记录来计算。发布者应当在收到付款报告的十(10)个工作日内提出异议,否则应视为发布者已接受付款报告且无异议。若在上述异议期内,Smaato注意到,在Smaato记录和发布者记录中关于特定月份的记录差异超过百分之五(5%),协议双方应以良好诚信的态度合作,提供适当的人员以快速解决此等差异和任何相关技术问题。每个日历月结束后的六十(60)天内,Smaato应当据双方同意的方式向发布者汇出当月的净收入金额。如果任何给定月份内应支付给发布者的款项不足人民币柒佰元(人民币700元),Smaato可将此金额延至后续付款期,直到应付金额达到最低限额人民币柒佰元(人民币700元)为止。 Payment Terms. Within thirty (30) days after the end of each calendar month during the Term, Smaato will provide Publisher a written or electronic report, or will enable Publisher to access such reports through the Services (“Payment Reports”). The Payment Reports will set forth the Net Revenue Share for such month, and payments are calculated solely based on Smaato’s records. Publisher shall raise any dispute within ten (10) business days of receiving the Payment Report, or otherwise Publisher shall be deemed to have accepted the Payment Report without any dispute. If there is a discrepancy of greater than five percent (5%) between Smaato’s records and Publisher’s records for a particular calendar month that is brought to Smaato’s attention within the aforementioned dispute period, the Parties shall work together in good faith and make available appropriate personnel to promptly resolve such discrepancy and any related technical issues. Within sixty (60) days after the end of each calendar month, Smaato shall remit the Net Revenue Share to Publisher for such calendar month in the manner and the form as agreed between Smaato and Publisher. If the amount payable to Publisher for any given month is less than seven hundred (700) Chinese Yuan Reminbi (“CNY”), Smaato may roll such amount over to the subsequent payment period until the amount payable reaches a minimum of 700 CNY.
6.4 货币。净收入金额应当以人民币支付。如果广告主支付人民币以外的货币,或使用人民币之外的货币计算净收入金额,Smaato可以参照在 https://www.safe.gov.cn/上公布的实时外汇卖出和买入汇率的中间汇率将这种货币转换成人民币。 Currency. Payment of the Net Revenue Share shall be made in CNY. If payments by Advertisers are made in a currency other than CNY, or a currency other than CNY is involved in the calculation of the Net Revenue Share, then Smaato may convert such payment to CNY using the midrate of the sale and the purchase of that foreign exchange currency with CNY as published by https://www.safe.gov.cn/ at the time of the conversion.
6.5 费用与税金。除另有明文规定外,双方各自承担因履行本协议相关条款而产生的费用。发布者应缴纳因使用服务而产生的所有税费和其它政府征收费用。 Costs; Taxes. Except as otherwise expressly provided hereunder, each Party will be responsible for all costs and expenses incurred by such Party in connection with the performance of its obligations under this Agreement. Publisher shall pay all applicable taxes or fees imposed by any government authority in connection with Publisher’s use of the Services.
6.6 无欺诈点击或展示量、非可视性。无论是通过人工还是通过其他设备或自动程序,发布者均不得制造或授权他人制造关于服务中的任何发布者媒体上广告的虚假点击或展示量。Smaato无需为以下情况付款:(a)在没有人类最终用户点击或观看其无线设备上的广告的情况下,通过如人工或使用设备、自动化程序或其他技术手段的欺诈或非法行为制造的点击或展示量;或(b)任何混杂了第6.6条(a)中描述的欺诈的展示量或欺诈点击的展示量(统称为“欺诈”)。再者,Smaato无需为以下情况付款:(i)任何不符合以下可视性标准的点击或展示(“非可视性”),即支付所需达到的最低可视性标准应为视频广告应至少有50%的像素在连续的两秒中被观看。未能遵守本条规定将被视为对本协议的严重违约,且如果Smaato认为发布者出现违反本条或本协议规定的行为,Smaato保留拒绝支付的权利。如果发布者已经通过欺诈或非可视性行为从Smaato处获得了支付,Smaato有权获得发布者的未来收益结存或得到退款。 No Fraudulent Clicks or Impressions; Non-Viewable. Publisher shall not, and shall not authorize others to, generate fraudulent clicks or Impressions on any Ads served on the Publisher Properties as part of the Services, whether generated manually or by use of a device or other automated process. No payment shall be made hereunder in connection with (a) any clicks or Impressions that have been generated via fraud or other illegal conduct, or generated manually or via the use of a device, automated process, or other technical means where there is no human End-User that actually views or performs the click on the Ads served on their Wireless Devices or (b) any Impressions commingled with fraudulent Impressions or fraudulent clicks as described in 6.5(a) (collectively “Fraudulent”). Further, no payment shall be made hereunder in connection with (i) any clicks or Impressions that do not meet the following viewability standards: the minimum viewability standard required for payment shall be at least 50 percent of pixels in view for one consecutive second for a non-video, i.e., display, ad, and two consecutive seconds for a video ad (“Non-Viewable”). Failure to comply with this Section shall be deemed a material breach of this Agreement and Smaato reserves the right to withhold payment if it considers that Publisher has engaged in activity that is in violation of this Section or of this Agreement. In the event that Publisher has already received payments from Smaato for Fraudulent or Non-Viewable actions, Smaato shall receive credit from future earnings or refunds from Publisher.
6.7 没收付款。为确保正常支付,发布者自行负责提供并维护与发布者账户相关的准确联系方式和付款信息。未能履行以上责任将会导致应向发布者支付的金额支付迟延或被没收。若以下情况发生,发布者则丧失对付款的追索,(a)由于不准确的联系方式或付款信息,致使Smaato 无法向发布者支付的期间达到六个月;或者(b)Smaato连续3次向发布者提供的银行账户支付失败后。 Forfeiture of Payment. To ensure proper payment, Publisher is solely responsible for providing and maintaining accurate contact and payment information associated with Publisher’s account. Failure to comply shall result in delay or forfeiture of Publisher’s due payment, as follows: Publisher shall forfeit payment (a) after Smaato has been unable to pay Publisher due to inaccurate contact or payment information for a period of six months, or (b) after three consecutive unsuccessful payment attempts at Publisher’s given bank account(s).
6.8 网络报告。网络报告允许发布者查看其为了使用服务而选择的第三方中介广告平台的信息,包括收入、广告请求、展示量及千次网页展示收入等信息(“网络报告”)。为启用网络报告,发布者须在第三方中介广告平台上注册有效的账号(“广告平台账户”),并将广告平台账户的有效认证信息提供给Smaato。通过启用网络报告,发布者授权Smaato通过发布者的广告平台账户访问、收集和使用包括收入、广告请求、服务的广告数、填充率、展示量、观看率、千次网页展示收入和点击数等信息。 Network Reporting. Network reporting allows Publisher to view information including revenue, ad requests, Impressions, and eCPM for the third-party mediation ad networks that Publisher has selected to use with the Services (“Network Reporting”). To enable Network Reporting, Publisher must have a valid account with such third-party mediation ad network (“Ad Network Account”) and provide Smaato with valid credentials for the Ad Network Account. By enabling Network Reporting, Publisher authorizes Smaato to access, collect, and use information, including revenue, ad requests, served ads, fill rate, Impressions, view rate, eCPM, and clicks, from Publisher’s Ad Network Account.
发布者声明并担保:(a)发布者是广告平台账户的授权用户;(b)发布者享有授权Smaato访问、收集、使用发布者广告平台账户提供网络报告的一切必要权利;及(c)Smaato访问、收集、使用来自发布者广告平台账户的信息不违反任何第三方协议或政策。发布者仅可为与服务有关的内部业务之目的使用网络报告。发布者理解并知晓网络报告为第三方中介广告平台提供,Smaato不对报告不符之处负责。 Publisher represents and warrants that (a) Publisher is an authorized user of the Ad Network Account, (b) Publisher has all necessary rights to authorize Smaato to access, collect, and use Publisher’s Ad Network Account to provide Network Reporting, and (c) Smaato’s access, collection, and use of the information from Publisher’s Ad Network Account shall not violate any third-party agreements or policies. Publisher may only use Network Reporting for internal business purposes solely in connection with the Services. Publisher understands and acknowledges that Network Reporting is provided by the third-party mediation ad networks and Smaato shall not be responsible for discrepancies in reporting.
7.1 访问服务。发布者同意,Smaato可随时修改、暂停或终止服务或屏蔽发布者访问服务,包括对广告或其他内容的访问。发布者使用服务应遵守特此纳入本协议中的发布者政策,以及适用的法律。Smaato保留不时修订内容准则的权利,且Smaato须就重大修订事先通知发布者;发布者使用服务表明其接受修订的发布者政策。 Access to Services. Publisher agrees that Smaato may modify, suspend, or discontinue the Services or Publisher’s access to the Services, including the availability of Ads or other content, at any time. Publisher’s use of the Services is subject to the Publisher Policies, which are hereby incorporated by reference, as well as applicable laws. Smaato reserves the right to amend the Publisher Policies at any time, and Smaato shall provide prior notice to Publisher of such amendments to the extent such amendments are material. Publisher’s use of the Services indicates the assent to and acceptance of the revised Publisher Policies.
7.2 期间。在不限制第7.1条的任何内容的情况下,本协议自发布者完成账户创建或首次访问服务(如本协议第一条所描述)之日起生效,且在根据协议条款与条件终止协议前保持完整效力。 Term. Without limiting anything set forth in Section 7.1, this Agreement shall become effective upon account creation or initial access to the Services by Publisher, as described in first paragraph of this Agreement, and shall remain in full force and effect until terminated in accordance with the terms and conditions of this Agreement.
7.3 任意终止。经提前三十(30)日书面通知或电子通知协议对方后,每一方均可以任何理由或无需理由随时终止本协议。 Termination for Convenience. Either Party may terminate this Agreement for any reason or no reason, and at any time, upon thirty (30) days’ prior written or electronic notice to the other Party.
7.4 违约终止。如果违约方未能在守约方通知后的三十(30)日内补救违约行为,任何一方可在另一方严重违约的情况下终止本协议。但是如果Smaato善意地相信发布者违反了任何法律、侵犯了第三方的任何权利或违反了Smaato发布者政策或参与了任何Smaato合理认为如果公开可能会危害Smaato声誉的活动,Smaato可立即终止本协议。 Termination for Breach. Either Party may terminate this Agreement in the event of a material breach of this Agreement by the other Party, provided that the breach has not been cured within thirty (30) days of the notice from the non-breaching Party, except that Smaato may terminate this Agreement immediately if it believes in good faith that Publisher is in violation of any law, any right held by a third party, or Smaato’s Publisher Policies, or is engaged in any other practices that Smaato reasonably deems may harm Smaato’s reputation if made public.
7.5 终止的效力。除本条另有规定外,本协议条款项下各方的所有权利和义务在本协议到期或终止时终止,包括所有根据本协议授予的许可(但不包括本协议确认的任何所有权)。发布者须在其服务、网站及市场营销文件中移除所有Smaato的参考资料或服务。发布者须停止使用任何Smaato SaaS服务并销毁或退还其持有的Smaato的一切资料。 Effect of Termination. Except as otherwise provided in this section, all rights and obligations of the Parties under this Agreement shall terminate upon the expiration or termination of this Agreement, including all licenses granted pursuant to this Agreement (but not any ownership rights recognized herein). Publisher shall remove from its services, websites, and marketing literature all references to Smaato or the Services. Publisher shall also cease all use of the Smaato SaaS Services and destroy or return all of Smaato’s materials in its possession.
尽管有上述规定,以下条款在本协议终止或到期后仍继续有效:第2.3条(许可限制)、第7.5条(终止的效力)、第8条(保密信息)、第9条(发布者声明与担保)、第10条(免责声明)、第11条(赔偿)、第12条(责任限制)、第13条(其他)及该等终止或到期的生效日期前产生的一方的任何支付义务。 Notwithstanding the foregoing, the following shall survive termination or expiration of this Agreement: Section 2.3 (License Limitations), Section 7.5 (Effect of Termination), Section 8 (Confidential Information), Section 9 (Publisher Representations and Warranties), Section 10 (Warranty Disclaimer), Section 11 (Indemnification), Section 12 (Limitation of Liability), Section 13 (Miscellaneous), and any payment obligations of a Party that accrue prior to the effective date of such termination or expiration.
8.1 保密信息。在本协议期间及协议终止或到期后的三(3)年内,除为了根据本协议履行其义务外,任何一方不得使用另一方的保密信息(如下文定义)。一方须使用与保护己方的保密信息同等的注意程度来保护另一方的保密信息,但不得低于合理程度。接收方仅应向为履行本协议的义务而需要知悉该等保密信息的雇员、顾问及分包商披露保密信息。“保密信息”指一方向接收方提供的,或接收方在履行本协议时使用或发现的,不为公众普遍所知的所有信息,包括但不限于与一方产品、业务及运营有关的所有信息(包括但不限于一方及其关联机构在任何时间,以口头、有形、电子或其他形式,向另一方提供、传达、发送的商业计划、财务记录、顾客、供应商、提供商、产品、成本、资源、策略、发明、程序、预测、销售资料及数据、技术建议或知识、协议、定价、产品特点、交易秘密、流程、发行方式、库存、营销策略、算法、设计、图纸、工作表、模板、制造工艺、电脑程序与系统,以及专有技术或其他知识产权),以及正常理性人相信基于其信息性质和披露情形,应视为保密或专有的任何其它信息。所有保密信息仍为披露方所有。 Confidential Information. During the term of this Agreement and for three (3) years after the termination or expiration of this Agreement, neither Party shall make use of the other Party’s Confidential Information (as hereinafter defined) for purposes other than the performance of its obligations under this Agreement. Each Party shall protect the other Party’s Confidential Information by using the same degree of care as it uses to protect its own information of a like nature, but no less than a reasonable degree of care. The receiving Party shall only disclose the Confidential Information to its employees, consultants, and subcontractors who have a need to know such Confidential Information in order to perform its obligations under this Agreement. “Confidential Information” shall mean all information of either Party not generally available to the public which is provided to the receiving Party by the disclosing Party or which the receiving Party has access to or discovers in the performance of this Agreement, including without limitation all information relating to a Party’s products, business, and operations (including without limitation business plans, financial records, customers, suppliers, vendors, products, costs, sources, strategies, inventions, procedures, forecasts, sales materials and data, technical advice or knowledge, contractual agreements, pricing, product specifications, trade secrets, procedures, distribution methods, inventories, marketing strategies, algorithms, designs, drawings, work sheets, blueprints, manufacturing processes, computer programs and systems, and know-how or other intellectual property of a Party and its affiliates that may be at any time furnished, communicated, or delivered by a Party to the other Party, whether in oral, tangible, electronic, or other form), and any other information that a reasonable person would believe to be confidential or proprietary in nature given the circumstances of disclosure. All Confidential Information shall remain the property of the disclosing Party.
保密信息不包括任何以下信息:(a)在一方披露前已为另一方合法知悉的;(b)一方从合法拥有该等信息的第三方处合法获得且没有使用或披露限制的;(c)披露方向公众公开且没有使用或披露限制的;(d)接收方通过合法途径独立开发或获知的;或(e)根据任何适用的法律法规,或具有管辖权的法院的命令,或接收方为针对接收方的索赔进行辩护而披露的。除非被适用的法律禁止,若根据法律须披露另一方的任何保密信息,一方须向另一方提供合理的事先书面通知且该等披露不构成对本协议的违反。 Confidential Information shall not include any information that: (a) was rightfully known to a Party prior to disclosure by the other Party; (b) is rightfully obtained by a Party from a third party lawfully in possession of such information without restriction on use or disclosure; (c) is made available by the disclosing Party to the public without restrictions on use or disclosure; (d) is independently developed or learned by the receiving Party through legitimate means; or (e) is disclosed pursuant to any applicable laws, regulations, or order of a court of competent jurisdiction, or by the receiving Party in defense of a claim against the receiving Party. Each Party will provide reasonable prior written notice to the other Party, unless prohibited by applicable law, if it is required to disclose any of the other Party’s Confidential Information under operation of law, and such disclosure shall not constitute a breach of this Agreement.
9.1 发布者担保并声明:(a)发布者拥有或被授权使用与服务有关的发布者媒体;(b)发布者使用服务应遵守所适用的一切法律、规则、法规与行业自律规范和/或本协议下的发布者义务履行;(c)发布者不得侵犯任何第三方的知识产权或隐私权;及(d)发布者不得向服务或最终用户传播恶意代码、病毒、木马、恶意软件、间谍软件或类似的有害措施。 Publisher warrants and represents that (a) Publisher owns or is authorized to use the Publisher Properties in connection with the Services, (b) Publisher shall comply with all applicable laws, rules, regulations, and industry self-regulations in connection with Publisher’s use of the Services and/or Publisher’s performance of its obligations under this Agreement, (c) Publisher shall not infringe third-party intellectual property rights or privacy rights, and (d) Publisher shall not spread malicious code, viruses, Trojan horses, malware, spyware, or similarly harmful measures to the Services or End-Users.
10.1 服务、网站及其他所有通过服务及网站可以使用或访问的内容遵循“按现状”及“按可提供性”的原则提供。除本协议明确规定外, Smaato不做出任何其他担保,并在此明确表示对服务、网站及其内容不承担任何形式的担保(无论明示或默示的),包括但不限于对适销性、非侵权性、所有权及为特殊目的而具备适用性作出的默示担保及交易或履约过程中产生的默示担保。Smaato不对服务或网站可永久使用、访问、不受干扰、及时、安全、运行无误或提供的任何软件运行无误做出任何形式的担保。发布者依其自主判断通过使用服务传送任何内容(包括广告)并承担风险,且发布者就该等使用自行承担责任。此外,Smaato不就通过服务器发送的任何广告的点击或展示量做出声明。某些法域可能禁止免责声明,且发布者在不同法域可能享有其它权利。 THE SERVICES, THE SITE, AND ALL CONTENTS AVAILABLE OR ACCESSIBLE THROUGH THE SERVICES AND THE SITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, SMAATO MAKES NO OTHER WARRANTIES AND HEREBY EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, WITH RESPECT TO THE SERVICES, THE SITE, AND THEIR CONTENTS, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, TITLE AND FITNESS FOR A PARTICULAR PURPOSE, AND IMPLIED WARRANTIES ARISING FROM COURSE OF DEALING OR PERFORMANCE. SMAATO MAKES NO WARRANTIES OF ANY KIND THAT THE SERVICES OR SITE WILL ALWAYS BE AVAILABLE, ACCESSIBLE, UNINTERRUPTED, TIMELY, SECURE, OPERATE WITHOUT ERROR, OR THAT ANY SOFTWARE PROVIDED HEREUNDER WILL OPERATE WITHOUT ERROR. ANY CONTENT, INCLUDING ADS, TRANSMITTED THROUGH THE USE OF THE SERVICES IS DONE AT PUBLISHER’S OWN DISCRETION AND RISK, AND PUBLISHER WILL BE SOLELY RESPONSIBLE FOR SUCH USE. FURTHER, SMAATO MAKES NO REPRESENTATIONS REGARDING THE LEVEL OF CLICKS OR IMPRESSIONS ON ANY AD DELIVERED THROUGH THE SERVICES. SOME JURISDICTIONS MAY PROHIBIT A DISCLAIMER OF WARRANTIES AND PUBLISHER MAY HAVE OTHER RIGHTS THAT VARY FROM JURISDICTION TO JURISDICTION.
10.2 Smaato不对广告内容向发布者承担任何责任或义务,且发布者理解Smaato并不制作广告内容,而是便利发布者与广告主之间的交易。 SMAATO ASSUMES NO RESPONSIBILITY OR LIABILITY WHATSOEVER TO PUBLISHER FOR THE CONTENT OF THE ADS AND PUBLISHER UNDERSTANDS THAT SMAATO DOES NOT PRODUCE AD CONTENT BUT RATHER FACILITATES TRANSACTIONS BETWEEN PUBLISHERS AND ADVERTISERS.
11.1 发布者赔偿。发布者同意就因以下原因直接或间接引致的,或以任何方式与之有关的任何第三方要求、索赔、诉讼、法律程序、损害、责任、损失、费用,成本或开销(包括但不限于合理的律师费及调查成本)(“损失”),为Smaato及其董事、高管、雇员、代理及代表辩护、作出赔偿和使其免受损害:(a)本条款项下发布者的任何违约或失责,包括但不限于违反发布者在本协议中的声明和担保;(b)关于发布者的内容、应用程序、披露或隐私政策违反任何适用的法律的任何指控;(c)发布者或其雇员或代理的,或上述各方代表的任何疏忽、严重疏忽、蓄意不当行为;(d)发布者媒体;(e)使用未经Smaato确认、指导或提供的任何产品、材料或技术,对Smaato SaaS服务的修改、组合或使用;和/或(f)发布者使用服务以连接或以其它形式与任何第三方需求伙伴合作。 By Publisher. Publisher hereby agrees to defend, indemnify, and hold harmless Smaato, and its directors, officers, employees, agents, and representatives, from and against any and all third-party demands, claims, actions, proceedings, damages, liabilities, losses, fees, costs, or expenses (“Losses”), including without limitation reasonable attorneys’ fees and the costs of any investigation, directly or indirectly arising from or in any way connected with (a) any breach of or default under the terms and conditions of this Agreement by Publisher, including, but not limited to, any breach by Publisher of its representations and warranties under this Agreement, (b) any allegation that Publisher’s content, application, disclosures or, privacy policy violates any applicable law, (c) any negligence, gross negligence, or willful misconduct by or on behalf of Publisher or its employees or agents, (d) the Publisher Properties, (e) the modification, combination, or use of the Smaato SaaS Services with any products, materials, or technology not approved, directed, or provided by Smaato, and/or (f) Publisher’s use of the Services to connect or otherwise work with any Third-Party Demand Partner.
11.2 Smaato赔偿。Smaato同意就因服务侵犯第三方知识产权的任何第三方诉求而直接或间接引致的任何损失,包括但不限于合理的律师费及调查成本,为发布者及其董事、高管、雇员、代理及代表辩护、作出赔偿,并使上述各方免受损害,只要该等损失非因以下原因而引致:(a)发布者未经Smaato同意或指导而对服务进行的任何修改;或(b)未经Smaato同意或提供的其他产品或技术对服务的使用或结合。为免存疑,并依据以下条款,若该等损失由任何第三方资料(包括但不限于广告)引致或与之有关,Smaato不应承担任何责任。若广告主就其违反需求方政策已向Smaato作出赔偿(“受偿的广告内容”),Smaato将把上述赔偿金转至发布者,以作为对第三方以受偿的广告内容违反需求方政策为由向发布者提出的索赔的赔偿。需求方政策是指发布于https://www.smaato.cn/demand-policies/ 的政策。 By Smaato. Smaato hereby agrees to defend, indemnify, and hold harmless Publisher, and its directors, officers, employees, agents, and representatives, from and against any and all Losses, including without limitation reasonable attorneys’ fees and the costs of any investigation, directly or indirectly arising from any third-party claim that the Services infringe a third-party intellectual property right, provided that such Losses do not arise from: (a) a modification to the Services made by the Publisher that is not under the approval or direction of Smaato, or (b) the combination or use of the Services with products, materials, or technology not approved or provided by Smaato. For the avoidance of doubt and subject to the following sentence, Smaato shall have no obligation hereunder to the extent that any such Losses arise out of or relate to any third-party materials (including, but not limited to, Ads). If and to the extent that Smaato is indemnified by its Advertisers with respect to the Demand Policies, (“Indemnified Ad Content”), Smaato will pass through such indemnity to Publisher for third-party claims brought against Publisher alleging that the Indemnified Ad Content does not comply with the Demand Policies. “Demand Policies” shall mean the polices available at https://www.smaato.cn/demand-policies/.
12.1 在法律允许的最大限度内,除本协议第8条下各方的保密义务及第11条下的协议双方赔偿义务,任何情况下,任一方及其子公司、关联机构、股东、董事、高管、雇员、代理及代表根据本条款均不就任何间接的、后果性的、特殊的、附带的、法定的、惩罚性的、惩戒性的损害赔偿(包括但不限于利润损失、存款及收入损失、数据丢失、失效、时间损失、停机或减速成本、不便、商业机会丧失、信誉或声誉损害或其它经济损失)向另一方承担责任(即使已获通知或已合理预期可能发生该等损害赔偿),而无论该等责任基于违约、侵权、严格责任或其他原因,除非该等损害赔偿是因该方、其雇员或其代理严重疏忽或蓄意不当行为引致的。为免存疑,发布者特别同意Smaato不为任何由中断、中止或终止服务(无论出于故意或疏忽)引致的损失承担责任。 TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXCEPT FOR THE PARTIES’ CONFIDENTIALITY OBLIGATIONS UNDER SECTION 8 AND THE PARTIES’ INDEMNIFICATION OBLIGATIONS UNDER SECTION 11, IN NO EVENT SHALL EITHER PARTY OR ITS SUBSIDIARIES, AFFILIATES, SHAREHOLDERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR REPRESENTATIVES BE LIABLE UNDER THIS AGREEMENT TO THE OTHER PARTY FOR ANY INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, STATUTORY, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST SAVINGS AND LOST REVENUES, LOSS OF DATA, LOSS OF USE, LOSS OF TIME, SHUTDOWN OR SLOWDOWN COSTS, INCONVENIENCE, LOST BUSINESS OPPORTUNITIES, DAMAGE TO GOOD WILL OR REPUTATION, OR OTHER ECONOMIC LOSS, REGARDLESS OF WHETHER SUCH LIABILITY IS BASED ON BREACH OF CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR SUCH DAMAGES COULD HAVE BEEN REASONABLY FORESEEN, EXCEPT WHEN SUCH DAMAGES ARE CAUSED BY THE GROSS NEGLIGENCE OR WILLFUL MISCONDUCT OF THE PARTY, ITS EMPLOYEES, OR AGENTS. FOR THE AVOIDANCE OF DOUBT, PUBLISHER SPECIFICALLY AGREES THAT SMAATO SHALL NOT BE LIABLE FOR ANY LOSSES ARISING FROM INTERRUPTION, SUSPENSION, OR TERMINATION OF THE SERVICES, WHETHER INTENTIONALLY OR NEGLIGENTLY.
12.2 在法律允许的最大限度内,在任何情况下,Smaato及其子公司、关联机构、股东、董事、高管、雇员、代理及代表为基于本协议产生的或与本协议相关的责任(无论该等责任基于违约、侵权(包括过失)或其他原因)所承担的最高责任总额不得超过(A)Smaato在该等责任产生日期前六个月内,根据本协议向发布者支付的总额;或(B)人民币拾万元整(人民币100,000.00元)。 TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE AGGREGATE LIABILITY OF SMAATO AND ITS SUBSIDIARIES, AFFILIATES, SHAREHOLDERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR REPRESENTATIVES ARISING FROM OR RELATING TO THIS AGREEMENT, WHETHER BASED ON BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EXCEED THE LESSER OF (A) THE AMOUNTS PAID BY SMAATO TO PUBLISHER UNDER THIS AGREEMENT DURING THE 6-MONTH PERIOD PRIOR TO THE DATE SUCH LIABILITY AROSE, OR (B) ONE HUNDRED THOUSAND CHINESE YUAN REMINBI (100,000 CNY).
12.3 索赔开始的十二(12)个月后,不得对Smaato或其董事、高管、股东、雇员、代理、代表、母公司、子公司、承继方或受让方采取任何法律行动或法律程序。 NO ACTION OR PROCEEDING AGAINST SMAATO OR SMAATO’S DIRECTORS, OFFICERS, SHAREHOLDERS, EMPLOYEES, AGENTS, REPRESENTATIVES, PARENTS, SUBSIDIARIES, SUCCESSORS, OR ASSIGNEES MAY BE COMMENCED MORE THAN TWELVE (12) MONTHS AFTER THE CLAIM ARISES.
13.1 通知。所有根据本协议被要求或允许向另一方发送的通知及其他通讯须为书面,且在下列时间被视为妥投:(a)若亲自送达,当日;(b)通过联邦快递或其他被认可的使用书面回执的翌日快递投递后的下一工作日;或(c)发送传真或电邮后的下一工作日。一方可以根据下文发出合理通知更改接收通知的地址。 Notices. All notices and other communications required or permitted to be given to a Party pursuant to this Agreement shall be in writing, and shall be deemed duly given (a) on the date delivered if personally delivered, (b) on the business day after being sent by Federal Express or another recognized overnight courier service which utilizes a written form of receipt for next day or next business day delivery in each case addressed to the applicable Party, or (c) on the business day following the day of facsimile or email transmission; provided that a Party hereto may change its address for receiving notice by the proper giving of notice hereunder.
13.2 市场营销和公众宣传。在本协议期间,发布者授予Smaato一项非独家的、免版税的、全额缴清的全球许可和权利,以在Smaato的客户列表、网站、宣传、案例研究、推荐证明、博客、向未来合作伙伴提供的资料、社交媒体和其他实体或电子市场营销资料中,使用和展示发布者的名称、标识、商标、商号和/或服务商标,包括(如有)发布者媒体的名称、标识、商标、商号和/或服务商标。 Marketing and Publicity. During the Term, Publisher hereby grants to Smaato a non-exclusive, royalty-free, fully paid-up, worldwide license and right to use and display Publisher’s name, logos, trademarks, tradenames, and/or service marks, including (as applicable) those of the Publisher Properties, in and on Smaato’s customer lists, website, presentations, case studies, testimonials, blog posts, materials provided to prospective partners, social media, and other physical and digital marketing materials.
13.3 管辖法律。本协议受中国法律管辖并按其释义。因本协议产生的任何争议应提交上海国际经济贸易仲裁委员会(下称“SHIAC”)根据其届时有效的仲裁规则进行仲裁。仲裁地上海。 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the People’s Republic of China. Any dispute arising out of this Agreement shall be subject to the Shanghai International Arbitration Center (“SHIAC”) for arbitration per the applicable arbitration rules. The arbitration place is in Shanghai. 本协议下当事方的业务行为如果涉及到外国法律、规则、法规和行业规定,双方在此同意遵守该法律、规则、法规及行业规定。但是如有法律冲突,中华人民共和国的法律应适用。 In matters where foreign laws, rules, regulations, and industry self-regulations are implicated by the Parties’ business conduct under this Agreement, the Parties hereby agree to abide by such laws, rules, regulations, and industry self-regulations. However, the laws of the People’s Republic of China shall prevail in the event of conflict of laws.
13.4 约束力、转让。本协议及其下的权利、义务及许可对各方及其各自的继承方、继任方、受让人及个人代表均具有约束力,并符合上述各方的利益。除兼并、重组或出售与本条款有关的大部分资产或业务之外,未经另一方事先书面同意,任何一方均不得整体或部分转让本协议。 Binding Effect; Assignment. This Agreement and the rights, obligations, and licenses herein, shall be binding upon, and inure to the benefit of, the Parties hereto and their respective heirs, successors, assigns, and personal representatives. Neither Party shall assign this Agreement in whole or part without the prior written consent of the other Party, except that either Party may assign the Agreement in connection with a merger, reorganization, or sale of a substantial part of the assets or business to which the Agreement relates.
13.5 分割性、弃权。如果本协议的任何部分被视为非法的或无效的,该部分应在尽量反映各方原意的前提下被重述、删除或限制到最小限度,本协议的其他部分仍保持完全有效。任何一方未能执行本协议下的任何权利或条款,不构成对该等权利或条款的弃权。 Severability; Waiver. If any portion of this Agreement is held to be illegal or unenforceable, that portion shall be restated, eliminated, or limited to the minimum extent necessary so that this Agreement shall reflect as nearly as possible the original intention of the Parties, and the remainder of this Agreement shall remain in full force and effect. The failure of either Party to enforce any right or term of this Agreement shall not be deemed a waiver of such right or term.
13.6 当事人关系。当事人是独立的订约人,且本协议下的任何内容均不得视为各方之间建立合资、合伙、信托或其他类似关系。每一方为其活动及雇员承担独立的责任,其无权,也不得向任何第三方表示其有权以任何方式约束另一方或使另一方承担义务。 Relationship of the Parties. The Parties are independent contractors, and nothing contained in this Agreement shall be deemed to create a joint venture, partnership, fiduciary, or other similar relationships between the Parties. Each Party has sole responsibility for its activities and its personnel, and shall have no authority and shall not represent to any third party that it has the authority to bind or otherwise obligate the other Party in any manner.
13.7 标题、解释。本协议中使用的章节标题仅供参考,不应影响对本协议的解释。如果对本协议的任何规定产生歧义或问题,本协议将被解释为如同由双方共同起草,任何推定或举证责任不会因本协议是谁起草而有利于或不利于任何一方。 Headings; Interpretation. The section headings used in this Agreement are intended for reference purposes only and shall not affect the interpretation of this Agreement. If an ambiguity or question arises with respect to any provision of this Agreement, this Agreement will be construed as if drafted jointly by the Parties and no presumption or burden of proof will arise favoring or disfavoring either Party by virtue of authorship of any of the provisions of this Agreement.
13.8 不可抗力。任何一方若因不可抗力事件而导致未能或迟延履行任何其各自的义务,无需承担责任。“不可抗力事件”指:(a)洪水、地震、或其他类似的天灾;(b)任何国家的暴动、民间动乱、叛乱或革命;或(c)任何其他超出未履约方合理控制范围的原因,只要未履约方对未能预防或引起该等违约或迟延履约没有过错,且未履约方不能通过合理使用替代资源、备用计划,或其他合理的预防措施预防规避该等违约或延迟。 Force Majeure. Neither Party shall be liable for any failure or delay in the performance of any of their respective obligations if prevented from doing so by a Force Majeure Event. “Force Majeure Event” means (a) floods, earthquakes, or other similar elements of nature or acts of God; (b) riots, civil disorders, rebellions or revolutions in any country; or (c) any other cause beyond the reasonable control of the non-performing Party, provided the non-performing Party is without fault in failing to prevent or causing such default or delay, and such default or delay could not have been prevented or circumvented by the non-performing Party through the reasonable use of alternate sources, workaround plans, or other reasonable precautions.
13.9 累积救济。一方在本协议下的所有权利和救济是累加于其在法律或衡平法中可能拥有的任何其它权利和救济上的。 Cumulative Remedies. All rights and remedies under this Agreement are cumulative and are in addition to any other rights and remedies a Party may have at law or in equity.
13.10 完整协议及修订。本协议构成各方之间就本协议标的事项而达成的完整协议,除双方就任何服务另行达成且共同签署的书面协议之外,本协议并取代各方之间达成的与本协议标的事项有关的任何及所有事先约定及沟通(无论口头或书面的)。此外,本协议优先于任何与交易有关的通用条款与条件,包括但不限于任一方的通用条款与条件、发票或确认书。如本协议条款与Smaato和发布者之间就任何服务共同签署的书面协议有不一致之处,以双方共同签署的书面协议的条款为准。对本协议的任何修订须为书面形式并经双方授权代表签署方可生效。 Entire Agreement; Modification. This Agreement constitutes the entire agreement of the Parties with respect to the subject matter hereof and, except to the extent the Parties have entered into any mutually signed, written agreement(s) regarding any of the Services, this Agreement supersedes any and all existing or prior agreements and communications, whether written or oral, relating to the subject matter hereof. In addition, this Agreement prevails over any general terms and conditions of the trade, including but not limited to either Party’s general terms and conditions, invoices, or acknowledgements. In the event of any conflict between this Agreement and any mutually signed, written agreement(s) entered into by and between Publisher and Smaato regarding any of the Services, the terms of such written agreement(s) will take precedence over the terms of this Agreement with respect to such conflict. No modification of this Agreement shall be effective unless it is in writing and signed by an authorized representative of each Party.
本协议以中英文书写,中英文如有任何不一致或冲突,应以中文为准。 The Agreement is written in Chinese and English. In the event of any inconsistency or conflict between the Chinese version and English version, the Chinese version shall prevail.

第三方需求方平台。如果发布者选择结合第三方中介广告平台使用Smaato SaaS 服务,发布者需要分配其总可用库存的至少10%(在Smaato SaaS 服务范围内)来向Smaato的需求方寻求广告。如果发布者不这么做,Smaato有权自行决定在使用Smaato SaaS 服务的发布者第三方中介广告平台的收益中收取百分之五(5%)的费用。Smaato 声明,发布者通过使用服务而连接任何第三方需求方或以其他方式与第三方需求方合作的,Smaato对由此产生的或与此相关的任何责任免责。该等责任包括但不限于,由以下原因产生或与之相关的责任:(a)广告;(b)发布者媒体;(c)媒体广告库存;(d)发布者和/或第三方需求方采集、使用或披露的任何数据;及(e)发布者和第三方需求方之间传输的任何数据。 Third-Party Demand Partners: If Publisher elects to use third-party mediation ad networks with the Smaato SaaS Services, Publisher shall allocate at least ten percent (10%) of its total available inventory (within the Smaato SaaS Services) for sourcing Ads from Smaato’s demand partners. If Publisher does not do so, Smaato, in its sole discretion, may charge a five percent (5%) fee from the revenue generated from Publisher’s third-party mediation ad networks used in the Smaato SaaS Services. Smaato disclaims any and all liability arising from or relating to Publisher’s use of the Services to connect or otherwise work with any Third-Party Demand Partner, including, without limitation, liability arising from or relating to (a) the Ads, (b) the Publisher Properties, (c) the Media Ad Inventory, (d) any data collection, use, or disclosure by Publisher and/or a Third-Party Demand Partner, and (e) any data transfer between Publisher and a Third-Party Demand Partner.
